A client’s family member referred Lee, a tech entrepreneur, who was getting ready to sell his business and needed help preparing for this significant liquidity event. He wanted to be able to leave the business on his terms and at an optimal time in his life. Lee understood the importance of obtaining an accurate valuation and employing strategies to maximize the value of the business, as well as planning for the significant tax implications.

We helped Lee look at the transaction with special consideration given to personal income and tax implications. Leo Robinson holds the Certified Exit Planning Advisor (CEPA®) designation, which equipped him to provide Lee with guidance around the valuation, sale, tax and estate considerations, and other opportunities he was weighing, including structuring the sale as an Employee Stock Option Plan (ESOP). Our planning process started with personal and business goals, as well as an assessment of Lee’s exit readiness.

We subsequently identified exit options best aligned for Lee’s situation. We developed an investment plan and diversified well balanced allocation tailored to his objectives to grow his family’s new wealth in a socially responsible way and to provide secure income while he was finding his next opportunity. We also developed a comprehensive estate plan strategy to ensure that the wealth Lee worked so hard for would transfer to his family in the most efficient way.

Eileen is a current client of ours and the owner of an engineering firm. Together with her two partners, they have seen the company grow from the three of them to 25 employees. In one of her regular reviews with our team, Eileen requested our advice on what strategies she could employ to help retain employees, and what options she had to manage company risk regarding cash and liquidity.

First, we brought in Eileen’s other two partners and reviewed their employee benefits coverage together. We helped them establish a new 401(k) for the company which helped save money and offered more choices for their employees. Since we had all three partners together, we set up a deferred compensation profit sharing plan for them and worked with each partner individually to develop investment plans around their unique retirement goals and time horizons.

Next, we conducted a business risk assessment and found a high-to-moderate amount of risk in how the company was managing their cash. They had large assets tied up with their local bank, and Eileen agreed that she wanted to improve returns on cash investments. We brought in private bankers and specialists through Wells Fargo Advisors to help diversify their business banking and liquidity options and ultimately make the company’s cash work better for them.

Janice Schoos is a Senior Philanthropic Trust Advisory Specialist and Executive Director with Wells Fargo Bank, N.A. 1,2. She serves the following areas in the Northeast division: New York, Connecticut, and New England. Wells Fargo Bank’s Philanthropic Services helps charitable individuals, families, and nonprofit organizations work toward their unique goals by providing specialized advisory services.

Janice works with individuals and families to define and help achieve their charitable objectives as part of their overall wealth plans. This may include developing gift and tax strategies, multi-generational planning, reviewing estate plans, and the creation and management of donor advised funds, private foundations, charitable trusts, and other charitable planning strategies. Meredith Fiocchi - Financial Consultant, CEPA®

Meredith is an educational resource for leveraged ESOP transactions, working with both internal and external partners to help clients, prospects and employee owners understand the ESOP opportunity. She remains supportive to the client and their representatives throughout an ESOP transaction and helps clients with structuring Section 1042 portfolios and securing qualified replacement properties (QRP). Her team also provides support and financial guidance to ESOP trustees and employee owners. Meredith is a Certified Exit Planning Advisor, (CEPA) and is very involved in the ESOP community. She is a member of the ESOP Association, Past President of the Illinois chapter, and is currently on the National Advisory Committee for Ownership Culture.
